Terms of Service
Last updated: October 21, 2026
These Terms of Service ("Terms") are a contract between you and 127 Group LLC, doing business as 127 ("127", "we", "us", "our"). They cover 127group.io (including the member area at 127group.io/app), our free tools (including the Founder Score, the Day One Stack, the Idea Test and First 25), our AI assistant "Eli's Playbook" and other AI tools, our emails and messages, the Founder's Circle, our events, and anything else we offer that links to these Terms (together, the "Service").
By creating an account, joining a waitlist, buying a membership, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.
The short version
This summary helps you navigate. It is not a substitute for the full Terms.
- You must be 18 or older to have an account.
- Paid memberships renew automatically every month until you cancel. You can cancel online anytime, and you keep access until the end of the period you paid for. The details are in our Membership, Billing & Cancellation Terms.
- Eli's Playbook is an AI. It is not Eli, it can be wrong, and nothing on 127 is legal, tax, financial or investment advice.
- We teach how to start and grow a business. We don't promise any income or result. See our Earnings Disclaimer.
- You own what you create. You can use our templates in your own business, but you can't resell or share our paid content.
- Be decent in community spaces and keep what other members share private.
1. How these Terms fit together
These documents are part of these Terms and apply to you when they're relevant:
- Membership, Billing & Cancellation Terms (/membership-terms): prices, automatic renewal, cancellation, refunds, the founding-member offer and the referral program.
- Earnings Disclaimer (/earnings-disclaimer).
- Founder's Circle Member Agreement (/circle-agreement): applies only if you join the Founder's Circle.
- Community Guidelines (Section 10 below).
Our Privacy Policy and Cookie Notice explain how we handle personal information.
If one of these documents conflicts with these Terms, the more specific document controls for its subject. For example, the Membership, Billing & Cancellation Terms control on cancellation and refunds.
2. Who can use 127
- Age. You must be at least 18 years old to create an account, join a waitlist, use our AI tools or buy a membership. 127 is not for anyone under 18. If you're 18 or older but under the age of majority where you live, you may use the Service only with the permission of a parent or legal guardian who agrees to these Terms for you. If we learn that an account belongs to someone under 18, we'll close it, refund every payment made on it and delete its information.
- Legal capacity. You must be able to form a binding contract and not be barred from using the Service under the laws of the United States or where you live, including sanctions laws.
- Where we operate. We built 127 for people in the United States. Paid memberships are currently available only to customers with a billing address in the United States. If you use the free Service from outside the United States, you do so on your own initiative and are responsible for following your local laws.
- Using 127 for a business. You can use the Service for your own business. If you accept these Terms on behalf of a company, you confirm you have authority to bind it, and "you" includes that company.
3. Your account
- Give us accurate information and keep it up to date.
- Keep your password secure and don't share your login. A paid membership is for one person. If you think someone else has accessed your account, email us at hello@127group.io right away.
- You're responsible for activity on your account unless it happened because we failed to protect it.
- Some features, including your full monthly AI messages, stay limited until you confirm your email address.
- One account per person, unless we agree otherwise in writing.
4. What the Service includes
- Plans. We offer a free plan, a paid Builder plan and the application-only Founder's Circle. What each plan includes, and its AI message limits and HQ credits, are described on our membership page and in your account.
- Changes to features. We add, improve and sometimes remove resources, tools and features. If we make a change that materially reduces the core features of a paid plan you're on, we'll tell you in advance, and you can cancel. If we remove a core feature of your paid plan in the middle of a billing period you've already paid for, you can ask for a pro-rated refund for the rest of that period.
- New and experimental features. Features we label as beta, preview or experimental may change or disappear and may not work perfectly.
- Availability. We work to keep the Service available, but we don't promise it will be uninterrupted or error-free. We may pause it for maintenance, security or reasons outside our control.
5. Paid memberships, renewal and cancellation
Paid memberships renew automatically every month at the then-current price, plus any applicable tax, until you cancel. We charge the payment method on file at the start of each billing period. You can cancel online at any time from Billing in your account, with no call or email needed. Cancellation takes effect at the end of your current billing period, and you keep access until then. Except as stated in our Membership, Billing & Cancellation Terms or required by law, payments are non-refundable.
All billing details, including prices, taxes, failed payments, plan changes, price-change notices, refunds, the founding-member price and the referral program, are in the Membership, Billing & Cancellation Terms, which are part of these Terms.
5A. Packs and other one-time purchases
A pack is a set of digital files, like templates, site designs, prompts, code and guides, that you buy with one payment. This section covers packs. The Membership, Billing & Cancellation Terms cover memberships.
- Before you pay. Each pack's page shows what's inside and its price in US dollars. Sales tax is added at checkout where the law requires. A pack doesn't renew, and buying one doesn't sign you up for a membership or for marketing emails.
- Getting your files. You don't need an account. When your payment goes through, we email your receipt and a private link to your files. Most card payments go through at once; some bank payments take a few days. Anyone with your link can open your files, so keep it private. If you make a free 127 account with the same email, your packs show up there too. We'll keep your link working for at least 12 months after you buy, and for as long as we offer the pack, so download the files you want to keep.
- 14 days to change your mind. If a pack isn't for you, email hello@127group.io from the email you bought with, with the subject "Refund", within 14 days of buying it, and we'll refund it in full. You don't need to give a reason. We refund your original payment method within 2 business days of your request. When the refund is made, your link stops working and your license to the pack's files ends (Section 11), so delete your copies. A bundle is refunded as a whole.
- If something's wrong. If a file is missing or broken, email us and we'll fix it, or refund you if we can't.
- Yours either way. A pack you bought stays yours whether or not you have a membership.
5B. Buying on the Market
The Market (127group.io/market) sells files that 127 members made, like site designs, templates, prompt packs, workflows and guides. Each listing names the member who made it, its "maker". We're opening the Market in stages, so this section and Section 13E apply once it's open to you.
- Who you buy from. 127 sells each listing for its maker. You pay 127, your receipt comes from 127, and 127 handles refunds, payment questions and disputes. The files are the maker's work, not 127's.
- Before you pay. Each listing shows what's inside, who made it and its price in US dollars. Sales tax is added at checkout where the law requires. Market purchases are available only with a billing address in the United States. A purchase doesn't renew, and it doesn't sign you up for a membership or marketing emails.
- Getting your files. When your payment goes through, we email your receipt and a private link to your files, and they show up in your 127 account if you have one with the same email. Anyone with your link can open the files, so keep it private. We keep them available for at least 12 months after you buy, even if the maker takes the listing down (unless we take it down because it wasn't the maker's to sell, below), so download the files you want to keep.
- 14 days to change your mind. The refund rule for packs in Section 5A applies to Market purchases the same way. When we refund, your link stops working and your license ends, so delete your copies.
- If something's wrong. If a file is missing, broken or not what the listing said, email us. We'll ask the maker to fix it, or refund you.
- Your license. Buying gives you a license from the maker to use the files in your own business and in work you do for your clients, and to change them as much as you like. One purchase covers one business and its team. Don't resell, share or give away the files, or a lightly changed version of them, as a template or product, and don't say you made them. Fonts, images or code inside a file can carry their own licenses, which the files list.
- What our check means. We check every listing against our rules before it goes up. We don't test every file in every setup or check every claim, and we can't promise a listing fits your needs or is free of other people's rights. A listing on the Market isn't a recommendation from 127. A guide is its maker's view, not 127's advice, and Section 7 applies to it.
- Reporting a listing. Tap "Report this listing" or email hello@127group.io. Copyright notices go to the agent in Section 12. If we take a listing down because it wasn't its maker's to sell, buyers who ask get a refund.
6. Eli's Playbook and other AI features
What it is. Eli's Playbook and our other AI tools (for example, the roadmap note, the idea validator and worksheet feedback) generate responses using third-party artificial-intelligence models. Our current AI provider is Anthropic, and we may change providers. The tools are designed around Eli Christiansen's frameworks and the 127 library.
It is an AI, not Eli. Eli's Playbook is not Eli Christiansen and does not speak for him. Eli does not see or approve individual AI responses. When a response goes beyond Eli's published frameworks, it's general AI output.
Replies on the wins board. If nobody has replied to a wins post after about 12 hours, Eli's Playbook may post one short reply, labeled "Eli's Playbook (AI)". Eli doesn't write these replies or see them before they post. You can turn them off for your posts in Settings, and remove one from your own post.
It can be wrong. AI output can be inaccurate, incomplete, out of date, biased or inappropriate for your situation, and it can sound confident when it's wrong. Don't rely on facts in an AI response (like numbers, laws or company details) without checking them yourself. You're responsible for the decisions you make and the actions you take.
Not professional advice. AI output, like all 127 content, is not legal, tax, accounting, financial, investment, securities or other professional advice. For those questions, talk to a licensed professional who knows your situation.
Your inputs and outputs. You keep ownership of what you type in ("inputs"). As between you and us, you own the responses generated for you ("outputs"), and we assign to you any rights we have in them, to the extent the law allows. We don't guarantee that outputs are unique, that they don't resemble outputs other people receive, or that they can be protected by copyright or trademark. You're responsible for how you use outputs, including making sure anything you publish (for example, marketing claims, testimonials or prices) is truthful and lawful.
How inputs are processed. We send your inputs, plus relevant context from your account (like your onboarding answers and roadmap), to our AI provider to generate responses. We don't allow our AI provider to use your inputs or outputs to train its models. See our Privacy Policy for details. Don't enter sensitive information you don't want processed this way, such as government ID numbers, full card or bank numbers, passwords, health information, or other people's private information.
Limits. Each plan includes a monthly allowance of AI messages and, where your plan includes HQ, HQ credits, shown on the membership page and in your account. Ask 127, your AI team, Studio, and HQ's workflows and tools (like the Store's Make it mine) use credits. Allowances reset each month, and unused messages and credits don't roll over. Credits aren't money: they have no cash value and can't be sold or transferred. We may apply reasonable rate limits to keep the Service stable and fair. We may change allowances; for a paid plan we'll give you advance notice of any reduction.
AI rules. Don't use the AI tools to:
- create anything illegal, deceptive or harmful, including fake reviews or testimonials, false earnings or income claims, fake scarcity, phishing, spam or malware;
- harass, threaten or impersonate anyone;
- try to get around our safety measures or limits, extract our system instructions, or attack or overload the Service;
- scrape or bulk-export outputs, or use outputs to build or train a competing AI model or service; or
- do anything that violates our AI provider's usage policies, which we may enforce on its behalf.
7. Education, not guarantees
127 is an educational service. Our playbooks, worksheets, calculators, templates, videos, emails, calls and AI tools teach and suggest; they do not guarantee any outcome.
- No income or results promised. Starting a business involves risk, including the risk of losing money and time. We don't promise that you'll launch a business, make a sale, earn any amount of money, or reach any milestone. Your results depend on your idea, effort, skills, market, timing, resources and many other factors outside our control. Eli's own story and results are his, and they are not typical or a prediction of yours. See our Earnings Disclaimer, which is part of these Terms.
- Calculators and examples are illustrations. Numbers in calculators, examples and templates depend on the assumptions you enter and are not forecasts.
- Life in HQ. The food log, daily check-in, budget and workout planner are general wellness and planning tools, not medical, nutrition or financial advice. Check with a doctor before you change how you eat or train.
- Market data and alerts. Where your plan includes it, HQ's ticker shows market data from the provider you connect with your own key, and alerts you set. It's information, not investment advice: 127 isn't an investment adviser or broker-dealer, and we don't recommend buying, selling or holding any security. Data and alerts can be late, missing or wrong, past moves don't predict future ones, and every trade is your own decision.
- Perks and grants. HQ's Perks lists outside programs, like startup credits, discounts and grants, as their official pages described them on the date shown. 127 isn't part of these programs and doesn't apply for you. We can't promise any credit, discount or award: each program sets its own rules and makes its own decisions. Check its official page before you apply, and check any draft we help you write before you send it.
- No professional relationship. Using 127 does not create an attorney-client, accountant-client, financial-adviser, fiduciary, employment, partnership or investment relationship with us or with Eli.
- Tools we mention. We sometimes recommend third-party tools and services. We don't control them and aren't responsible for them. If we ever earn a commission or other benefit from a recommendation, we'll say so next to it.
8. Faith
127 was founded on Christian faith and Psalm 127 ("Unless the Lord builds the house, the builders labor in vain"). Some content, AI responses, emails, calls and events reference faith, scripture or prayer. You don't need to share our beliefs to join, participation in anything faith-related is always optional, and every member is treated the same whatever they believe.
9. Your content
"Your content" means anything you submit to the Service: onboarding answers, worksheet answers, AI inputs, wins and other posts, comments, Circle applications, questions for calls, messages and feedback.
- You own it. You keep ownership of your content.
- Permission you give us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example, format or translate) and display your content as needed to run, secure and improve the Service. That includes showing your posts to other members where the feature is designed for that, such as the wins board.
- No public marketing without your OK. We won't use your name, image, voice, story, business details or results in advertising or marketing outside the Service unless you give us separate permission, for example by signing a testimonial release.
- Visibility. Posts on the wins board are visible to other logged-in members with your first name. Circle spaces are visible to Circle members. If you put a site or win on 127's public wall, anyone can see it there, named the way you chose, until you take it down. Don't post anything you want kept private.
- Your responsibility. You confirm you have the rights to what you post and that it doesn't break the law or these Terms. Don't post anyone else's confidential information.
- Feedback. If you send us ideas or suggestions about 127, we can use them without paying you or owing you anything.
- Removal. You can delete your own wins posts and take down your wall entries. We may remove content that we believe breaks these Terms or the law, or that puts members or 127 at risk. We don't have to monitor content, and we're not responsible for content other members post.
10. Community Guidelines
127 exists to help people build with purpose. In every community space (the wins board, Circle calls and group chats, events, DMs with members and comments), you agree to:
- Be honest and decent. No harassment, bullying, threats, hate speech, sexual content, or content that exploits or involves minors.
- Keep it confidential. What other members share about their businesses, finances and lives stays in the room. Don't record, screenshot or repost other members' content outside 127 without their permission.
- No pitching or recruiting. Don't send unsolicited sales pitches, spam, or affiliate links, and don't recruit members into multi-level marketing, "business opportunities," investments, loans or crypto schemes. Don't ask members for money or investments.
- No fake proof. Don't post invented results, fake reviews or misleading claims, about your business or anyone else's.
- Respect others' rights. Don't post content you don't have the right to share, or anyone's personal information without their consent.
- Stay legal. Don't use 127 to plan or promote anything illegal, fraudulent or harmful.
- Don't break or game the Service. No scraping, bots, security testing without permission, attempts to access other accounts, account sharing, reselling access, or referral-program abuse.
Our community guidelines at 127group.io/guidelines explain these rules in plain words and how we enforce them, and they're part of these Terms. To report a problem, tap Report on the post or email hello@127group.io with "Report" in the subject. We may warn you, remove content, limit features, or suspend or end your account for violations.
11. Our content and your license to use it
The Service and its content, including playbooks, worksheets, templates, calculators, videos, scripts, AI prompts and instructions, software, design, and the 127 name, logo and slogans, belong to us or our licensors and are protected by intellectual-property laws.
- Your license. While you have access, we give you a personal, limited, non-exclusive, non-transferable, revocable license to use the content available on your plan for your own learning and for your own business or businesses.
- Templates are for using. You may copy, adapt and use our templates, scripts and worksheets in your own business and in work you do for your clients, including commercially, and keep using what you've adapted after your membership ends.
- What you can't do. You may not resell, sublicense, publish, redistribute or share our playbooks, templates or other paid content as products or materials of your own; post paid content publicly; share your login; or copy the Service to build a competing product.
- Packs you buy. A pack's files are yours to keep and use, as often as you like, in your own business and in work you do for your clients, like your website, your ads or a client's site. This license doesn't end when you leave 127; it ends only if you get a refund or break this section. You may not resell, share or give away the files, or templates made mostly from them, as products or materials of your own, or post them publicly. Parts of a pack that come with their own license, like open-source code under the MIT license, are covered by that license instead, and keep their notices.
- Trademarks. You may not use our names, logos or slogans in a way that suggests we endorse you without our written permission.
12. Copyright complaints
We respect intellectual property. If you believe content on the Service infringes your copyright, send a notice to our designated agent with the information required by the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)): your signature; identification of the copyrighted work; identification of the material and where it appears; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.
Designated agent: Copyright Agent, 127 Group LLC, hello@127group.io (subject: "Copyright notice").
If your content was removed and you believe it was a mistake, you may send a counter-notice that meets 17 U.S.C. § 512(g)(3). We will end the accounts of repeat infringers in appropriate circumstances.
13. Third-party services
Parts of the Service rely on other companies, for example Stripe for payments, video-call and scheduling tools for Circle calls, and messaging apps for group chats. Your use of those services is governed by their terms and privacy policies. We aren't responsible for third-party services, websites or content we link to.
13A. Connected accounts and HQ
HQ is the workspace in your account for tracking and running your business. On plans that include it, you can connect outside accounts, like Stripe, Shopify, Notion or your email tool, so HQ can read your numbers and, with your OK, do work in them. Each connection's card in HQ says what it reads and what it can do. You can also make a private 127 link, which tools like Zapier, Make, n8n, ManyChat or a Google Sheets script can send numbers to. HQ can also read numbers off screenshots you add, email you a Monday check-in, and give you an AI link that lets an AI app you use, like Claude or ChatGPT, work with your 127 information. This section applies when you connect an account, make a 127 link or an AI link, add screenshots, or turn on Monday check-ins.
- Your accounts, your permission. Connect only accounts you own or are authorized to connect for your business. By connecting, you confirm that you're allowed to let 127 receive that account's data, including the information about your customers that comes with it, and act in it when you OK it, and that doing so is consistent with your own privacy notice and with the terms of the service you connect. You must be 18 or older (Section 2), and new connections, screenshots and your AI link are paused while we review an account's age.
- What HQ does in your accounts. HQ reads only what a connection's card lists. It changes something in an account (for example, saving a product draft in Shopify, a draft campaign in your email tool, a page in Notion or an invoice in Stripe) only when you tap OK in HQ for that change, each time. An OK on HQ's card in Slack or Microsoft Teams, from the account you linked in HQ, counts as an OK in HQ. It never moves money out of your accounts, except a refund to your own customer that you OK. Some services' keys allow more than HQ uses; we use a key only for what its card lists. For Stripe, use a restricted key with only the permissions the card lists; we refuse full secret keys.
- What we do with the data. We use what your connections send only to show your numbers and boards in HQ, to run the workflows, Ask 127 and AI team you use, to write your Read my week feedback when you ask for it, and to keep HQ working and secure, as our Privacy Policy explains.
- Your customers' information. When data from your connections includes personal information about your customers, we handle it as your service provider: only on your behalf and only to provide HQ to you. We don't sell or share it, use it for any other purpose, or combine it with other information. We protect it with reasonable security, handle it in line with the privacy laws that apply to us, and will tell you if we can no longer meet these commitments. You can stop it at any time by disconnecting.
- Screenshots. Add screenshots only of your own accounts and reports. If you can, crop out your customers' names and contact details first, and always crop out anything Section 6 asks you to keep out of our AI tools, like full card or bank numbers. Anything about your customers that's left in is handled as "Your customers' information" above describes. We send your screenshots to our AI provider once to read the totals, and we don't keep them. What it reads can be wrong, so the numbers count only after you check them and press Save week.
- Monday check-ins. If you turn them on, each Monday's email has a link that logs that week's numbers without a login for 15 days. Anyone with the link can see and change that week's numbers, so don't forward the email. Numbers saved through it count as yours. You can turn check-ins off from any check-in email or in HQ.
- Your AI link. Your AI link lets an AI app you choose, such as Claude or ChatGPT, read your 127 profile, roadmap, HQ numbers and notes and the playbooks your plan includes, and log numbers you tell it. Where your plan includes them, it can also search your Brain, log notes and decisions, start most workflows and skills, read what they made and your activity log, answer your Inbox, and read and move the leads in your Pipeline (Sections 13C and 13D). It can get sends, posts and changes in your accounts ready, but they wait for your OK in HQ. Adding the link to an app is your instruction to us to share that information, including what it shows about your clients and leads, with the company behind the app, which handles it under its own terms and privacy policy and your settings there, including whether it uses your chats to train its models. The training promise in Section 6 covers our AI provider, not apps you connect. Turning the link off or making a new one stops the old link at once, but what an app already read stays with it.
- AI apps you connect. We don't control those apps or what they say. Their answers come from them, not from 127 or Eli; they can be wrong, and they aren't professional advice (Sections 6 and 7). Numbers an app logs, Inbox cards it answers and leads it moves for you count as yours, so check them. Claude is a trademark of Anthropic and ChatGPT is a trademark of OpenAI. We name them only to show where 127 works, and 127 isn't affiliated with or endorsed by either.
- Playbooks in your AI. Bringing our playbooks into your own AI app, for your own learning and business, is part of your license in Section 11. Don't use your AI link to copy out, collect, publish or share our content, or to build or train any product or model.
- Keep keys and your links private. Anyone who has your 127 link can add numbers to your HQ, and anyone who has your AI link can read your 127 information and log numbers, so treat both like passwords and make a new one if one gets out. Send your 127 link numbers only, never names, contact details or other personal information. We encrypt the keys you save and never show them again. If you think a key has been exposed, delete it in that service and disconnect it here. If we believe a key you gave us may have been exposed, we'll tell you promptly.
- Ending a connection. You can disconnect anytime in HQ, under Connections, and we delete the saved key or sign-in right away. Disconnecting in 127 doesn't change your account there, so delete the key there too, or remove 127's access in that service's settings. If your paid plan ends (a pause doesn't count), your 127 link and AI link stop working, Monday check-ins stop, and we delete your saved keys and sign-ins 30 days later. The numbers already counted stay in your HQ until you ask us to delete them or you delete your account.
- Numbers for tracking, not accounting. HQ counts what your connections send, and its numbers can be incomplete or wrong (for example, Shopify counts only orders placed after you connect, and sales in a second currency aren't added). Check your Stripe, Shopify or bank records before relying on a number for taxes, bookkeeping, financing or anything you tell other people. HQ and its feedback, like the rest of 127, don't forecast or promise any result (Section 7).
- Their services, their terms. Stripe, Shopify and the services you connect are third-party services (Section 13), and any fees they charge are yours. A connection can stop working if they change their service. We may change, replace or end a connection, or switch one off to protect you, other members or the Service, and we'll tell you if we do.
- Servers you add. If you add your own MCP server or connect an app you host yourself, you're responsible for it, its terms and licenses, and what it does with what HQ sends it. HQ treats what it returns as information, never as instructions. Its tools change something only with your OK each time, unless you've let a read-only tool run without asking.
13B. First 25
First 25 finds local businesses you could offer your work to, checks each one's website, and writes a first message for each. It never sends anything. You send every message yourself, one at a time. This section also covers HQ workflows that do the same job, like the gym video pack.
- OpenStreetMap. Listings marked OpenStreetMap are © OpenStreetMap contributors and available under the Open Database License.
- Our checks can be wrong. We read each business's homepage and list what we didn't find there, like online booking or a video. Websites change and our check can miss things, so look before you send. We don't promise that any business detail is complete, current or right.
- You're the sender. You're responsible for your messages and for following the laws on sales messages, including the federal CAN-SPAM Act for email: your real name, an honest subject line, a plain offer of what you do, your mailing address in sales emails (a PO box works), a way to say no, and nothing more once someone says no. Don't text businesses from your list, don't use automated calls or bulk-sending tools, and don't claim clients, results or numbers you don't have. Section 19 covers claims about what you send.
- Free samples stay private. A sample you make for a business is for that business. Don't post it, tag them, or use their name, logo, photos or customers in public unless they say yes in writing.
13C. HQ workflows and your clients' information
HQ's workflows plan your work, write drafts and make files for your business, and its Pipeline keeps your leads and clients. This section applies whenever you put information about other people into HQ: your clients and leads, contacts you import, businesses a workflow finds for you, docs in your Brain, what your connections bring in, and chats on your site.
- What you put in. Add information about other people only if you're allowed to use it for your business, and only what the work needs. Import contacts only to reach people who know you. Where the law requires it, tell your clients what you keep and why, get the consent it requires, and answer their requests about their information. You're the business they deal with, and we help as this section describes.
- Keep sensitive details out. Don't put government ID numbers, full card or bank numbers, passwords or medical records into HQ. Keep health details out too, except where a workflow asks for them: the PAR-Q+ result in the personal training workflow and the foods to leave out in the meal prep workflow. Keep full health forms and allergy details in your own records. HQ isn't built for health records covered by HIPAA, so don't use it for them, and we don't sign business associate agreements. If a health data law applies to your business, like Washington's My Health My Data Act, the notices and consents it requires are yours to give and get.
- Children. If you teach or look after children, keep to a first name and what the parent needs, and write to the parent, never the child.
- We're your service provider. We handle your clients' and leads' information only on your behalf and only to provide HQ to you, following these Terms and what you do in HQ, which are your instructions to us. We don't sell or share it, use it for advertising or to train AI models, combine it with information from other members, or contact the people it's about on our own. People at 127 keep it confidential and look at it only to help when you ask, to fix a problem or to enforce these Terms. Our hosting and AI providers handle it for us under contracts that protect it, as our Privacy Policy explains. We protect it with reasonable security, handle it in line with the privacy laws that apply to us, and will tell you if we can no longer meet these commitments. You can stop our use of it at any time by deleting it. Ask us, and we'll tell you in writing how we keep these promises.
- Requests about it. You can delete a lead, a run, a file, a repeat or a win in HQ yourself. Deleting a lead also deletes the drafts and answers HQ wrote for it and what workflows saved under its name, and takes its name off your wins. To delete anything else, or to get a copy of what HQ holds about one person, email us at hello@127group.io and we'll do it promptly. If someone asks us about information you keep in HQ, we'll pass the request to you or tell them to ask you.
- Nothing goes out without your OK. HQ never sends anything to your clients or leads on its own. It writes drafts, and you send each one yourself from your own email, phone or Instagram, or, where you've connected an account that can send (like Stripe invoices), you tap OK in HQ and HQ sends that one from your account. The one exception is your site chat, which answers people who write to it (Section 13D). You're responsible for what you send and the laws on it: follow Section 13B's rules in every sales email, and don't text anyone who hasn't given you their number.
- Check what workflows make. Plans, menus, schedules, prices and drafts come from code and AI. They can be wrong, and they aren't professional advice (Sections 6 and 7). Check them before you use them with a client, especially anything about health, safety, food, money or the law.
- Wins. If you let us share a win, leave your client's name out of it.
- How long it stays. A run is deleted 180 days after it ends. Your Pipeline, files, repeats and wins stay until you delete them or your account, even after a paid plan ends. Deleting your account deletes all of it, as our Privacy Policy explains.
13D. Your Brain, Ask 127, your AI team, site chat and Studio
Where your plan includes them, HQ can keep your business's documents and rules (your Brain), answer and act for you in chat (Ask 127), run AI helpers that work in the accounts you connect (your AI team), answer visitors in a chat on your own website (site chat), and make images, video and voice (Studio). This section applies when you use any of them.
- Your Brain. Add only documents, notes and rules you have the right to use, and only what your business needs. Ask HQ to draft it only from your own website or bio. They're your content (Section 9), and Section 13C applies to anything in them about other people, including what it says to keep out. Your house rules go with every AI request HQ makes for you, so keep other people's details and anything secret out of them. A doc you mark public can be quoted to anyone who uses your site chat, so mark public only what you'd put on your website.
- Nothing goes out without your OK. Ask 127 suggests actions, like starting a workflow or logging a decision, and takes each one when you tap OK. Skills and your AI team do the work you set them up for. Anything that sends, posts, publishes, charges, spends, deletes or changes something in an account you've connected waits for you to tap OK in HQ, each time. Read what you approve: your OK is your decision. An AI app you connect through your AI link can get these things ready too, but the OK has to come from you in HQ.
- AI, not people. Ask 127, your AI team, site chat and Studio use AI, so Section 6 applies to them: they can be wrong, check what they make before you rely on it or send it, and none of it is professional advice. We call the helpers on your AI team AI employees because each one has a job, but they're software that 127 runs for you. They aren't people, and they aren't your employees or ours. A helper's name describes its work; it isn't an accountant, lawyer, financial adviser or any other licensed professional.
- Your activity log. HQ records what you approve, and what Ask 127, your AI team, your schedules, your AI link and your connections do. You can see and export it in HQ.
- Credits and budgets. Ask 127, your AI team and Studio use your plan's HQ credits (Section 6). A helper stops when its budget or your allowance runs out. We never charge you for more without your OK.
- Your site chat. It answers your visitors only from the docs and details you mark public, and it tells them at the start that it's an AI working for your business and that chats are saved for you. You're the business your visitors deal with: you decide what it may say, you're responsible for its answers like anything else on your site, and your site needs a privacy notice that covers it (our site templates include a starter). Don't add it to a site or page meant for children. We run it for you as your service provider (Section 13C), and your visitors' chats are yours.
- Studio. Add a real person's photo, video or voice only if it's you, or you have that person's written permission to use their face or voice this way, and never anyone under 18. A voice or look that Studio keeps so it can make that person again can only be yours. Don't make media that imitates a real person who hasn't agreed, including celebrities and public figures, or that presents a made-up person as a real customer, client or reviewer. When Studio makes an ad with an AI-made person or voice, the ad carries a label that says so; keep it on. When any other post shows an AI-made person or voice, or a real one changed by AI, that people could take as real, label it where the law or the platform requires, and turn on the platform's AI label when you post. Each Studio tool links the usage rules of the company that makes it, and you agree to follow them too. If you connect your own account with one of those companies, its terms and your plan there also apply to what you make with it. What Studio makes is your output (Section 6), but it may resemble what others make and may not be protectable. Our Privacy Policy names the companies that make it.
- Templates, checklists and estimates. Store templates, HQ's tools (like Profit and break-even and Cash runway), setup and compliance checklists, bookkeeping categories and tax set-aside estimates are general tools, not legal, tax or accounting advice (Sections 6 and 7). Rules differ by state and situation, so have a qualified professional check anything you'll sign, file or rely on.
- Your ads. If you connect an ad account, you're the advertiser: your ads, targeting, budgets and claims are yours, and so are the ad platform's rules and charges. HQ creates new ads paused. It turns an ad on, or changes an ad, audience, budget or schedule, only when you tap OK, and it never changes your payment settings. HQ asks whether each campaign is about housing, jobs, credit or another financial product and, if it is, uses the platform's special category and the limits on targeting that come with it. It doesn't make political, election or social issue ads, or ads aimed at anyone under 18. Ads made with 127 never claim income, earnings or guaranteed results, and never use made-up reviews or people presented as customers. Have proof for any claim you add.
13E. Selling on the Market
These are the seller terms for the Market (Section 5B). When you sell there, they apply along with the rest of these Terms.
- Who can sell. Members 18 or older who live in the United States, on a plan that includes selling (the Sell page says which), with a payout account set up through Stripe. If your plan stops including selling, your listings come off the Market.
- Getting paid. Stripe pays you through a Stripe account you set up from the Sell page. Stripe's own terms (the Stripe Connected Account Agreement) cover that account, and you accept them with Stripe. Stripe checks your identity and keeps your bank and tax details; we see your account's status and your payouts. You agree we can share your sales and payout details with Stripe so it can pay you.
- 127 sells for you. 127 is the seller of record for every Market sale. The buyer pays 127, gets 127's receipt and 127's refund rule (Section 5B), and 127 handles payment questions and disputes. You set your price, from $5 to $199.
- The fee. For each sale, 127 keeps the share for your plan shown on your Sell page when the sale is made: today 20% of the price, or 10% while you're on the Founder's Circle. Sales tax isn't part of the price, and 127 pays the card fees from its share. You get the rest, which Stripe pays to your bank after the hold shown on your Sell page. We'll tell you at least 30 days before we raise the fee, and a change never touches sales already made.
- Refunds and disputes. When we refund a sale, your share of it comes back: from your Stripe balance, or from your next payouts if it's already been paid. The same goes for a dispute we lose on your listing, or a refund we give because a listing broke these terms. If your next payouts don't cover what you owe, we may ask you to pay it back.
- What you let 127 do. You keep ownership of your listings. You give 127 a worldwide, non-exclusive, royalty-free license to host, copy, show (including previews, screenshots and short excerpts), sell and deliver your files under the Market license (Section 5B), and to show your listings, covers, maker name and handle on 127's site and in 127's emails and posts about the Market. It lasts while a listing is up, and afterwards for copies already sold, so buyers can still download what they bought. We never share how much you've sold or earned without asking you.
- Your promises. You promise that:
- you made what you list, or have every right needed to sell it under the Market license, including any fonts, images, code or AI output in it; - it doesn't copy anyone else's work, including 127's own (packs, Store items, courses and prompts), or a close copy of it; - your listing says truthfully what's inside, and its cover and previews show the real files; - it holds nothing harmful, like malware, hidden tracking, or code that sends information anywhere without the listing saying so; and - it follows the Market rules below, these Terms and the law.
- Market rules. These never sell:
- lists of people or businesses, scraped data, or anything made from Google Maps data; - anything that promises income, clients, leads, followers or results, or sells a way to make money (like resale rights or a business in a box); - services and coaching; - financial, investment, tax, medical or legal advice; - tools for spam, fake reviews, scraping or getting around another platform's rules; - other people's work, and anything illegal, deceptive, hateful or sexual; and - mass-made filler.
A listing shows no money amounts except its price, and no testimonials, reviews or ratings. A sample number in a cover or preview is labeled "Example: made-up numbers". A cover or preview showing a person made by AI says "AI-generated person". A template for another app (like Notion or Canva) follows that app's rules for selling templates.
- Our review. We check every listing before it goes up, and we can turn one down with a note on what to change. We can pause or remove a listing, hold its payouts, or stop you selling if we believe it breaks these terms or the law, or puts buyers or 127 at risk. A report pauses a listing until we've looked. Our check doesn't change your promises or make your listing ours.
- Copyright. We handle copyright complaints under Section 12. If we get three valid complaints about your listings within 12 months, you can't sell on the Market anymore.
- Taxes. 127 charges and pays sales tax on Market sales where the law requires, so don't add tax to your price. The income is yours to report. Stripe may ask for your tax details, and you'll get the tax forms the law requires, like a Form 1099-K.
- Buyers. You see each buyer's first name and country, never their email or other details. Buyers come to 127 with questions, and we may pass a question about your files to you. Don't contact buyers outside 127, and don't offer anything in exchange for a review.
- Stopping. You can take a listing down or stop selling anytime. Buyers keep what they bought, and we keep a copy so they can download it for at least 12 months after they bought it. We pay what you've earned once its hold ends, less anything you owe. We can change these seller terms or close the Market with 30 days' notice, or sooner where the law or Stripe requires it.
- Claims. You're responsible for your listings. If someone makes a claim against 127 because of one of them, like a claim that it copies their work, Section 19 applies.
- Independence. You sell as an independent business, not as 127's employee, agent or partner, and you can't make promises for 127.
14. Messages and electronic notices
- Account messages. We send messages about your account and transactions (for example, email confirmation, receipts, renewal and billing notices, cancellation confirmations, and important changes). These are part of the Service and you can't opt out of them while you have an account.
- Marketing messages. We send marketing emails, and in the future may send marketing texts, only if you opt in. You can unsubscribe anytime using the link in any marketing email or by replying STOP to a text.
- Electronic notices. You agree that we may provide agreements, notices, disclosures and other communications to you electronically, by email to the address on your account or in the Service, and that these satisfy any legal requirement that they be in writing. Keep your email address current.
15. Changes to these Terms
We may update these Terms from time to time. If a change is material, we'll give you notice by email or in the Service at least 30 days before it takes effect (or sooner if the law or a security issue requires it). Changes don't apply retroactively, and changes to Section 20 won't apply to disputes that arose before the change. If you keep using the Service after a change takes effect, you accept the updated Terms. If you first agree to these Terms after we post a change, the updated Terms apply to you from then on. If you don't agree, stop using the Service and cancel any paid membership before the change takes effect. Price changes follow the notice rules in the Membership, Billing & Cancellation Terms.
16. Suspension and termination
- You can leave anytime. Cancel a paid membership online, or delete your account in Settings → Delete account. Deleting your account cancels any paid subscription immediately and permanently deletes your account data as described in the Privacy Policy. If you want to keep access until the end of a paid period, cancel first and delete your account later.
- We can suspend or end access to all or part of the Service if you break these Terms, don't pay, create risk or possible legal exposure for us or other members, or if we must for legal reasons. Where reasonable, we'll tell you first and give you a chance to fix the problem. For serious violations (such as fraud, threats, harassment, sharing other members' confidential information, or illegal activity) we may act immediately.
- Refunds on termination. If we end your paid membership because you broke these Terms, we don't refund fees already paid unless the law requires it. If we end your paid membership for any other reason, or stop offering the Service, we'll refund the unused part of any fees you prepaid.
- What survives. Sections that by their nature should continue (including ownership, licenses you gave us for content already shared, disclaimers, limits of liability, indemnity and disputes) survive termination.
17. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, AI OUTPUT, CALLS AND EVENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR AI OUTPUT WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT YOU WILL ACHIEVE ANY RESULT. Some jurisdictions don't allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
18. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) $100.
These limits apply to every theory of liability (contract, tort, statute or otherwise). They do not limit liability that can't be limited by law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence. Some jurisdictions don't allow these limitations, so some of them may not apply to you.
19. Your responsibility for claims
To the extent permitted by law, you agree to defend, indemnify and hold harmless 127 Group LLC and its members, employees and contractors from third-party claims, losses and reasonable costs (including reasonable attorneys' fees) arising from (a) your content, (b) your business's products, services, marketing or dealings with your own customers, or (c) your violation of these Terms, the law or someone else's rights. We'll tell you promptly about any such claim and may participate in the defense with our own counsel at our own cost.
20. Disputes
20.1 Talk to us first. Most problems can be solved quickly. Before starting any claim, you and we each agree to send the other a written notice describing the dispute and the relief requested (to us: hello@127group.io with the subject "Dispute"; to you: the email you gave us), and to try in good faith to resolve it for 60 days. Any deadline to file a claim is paused during those 60 days.
20.2 Your rights where you live. Nothing in these Terms takes away consumer-protection rights you have under the law where you live that can't be waived by contract.
21. Notice for California users
Under California Civil Code § 1789.3, California users are entitled to the following notice: the Service is provided by 127 Group LLC, hello@127group.io. Prices and charges are described on our membership page and in our Membership, Billing & Cancellation Terms. To resolve a complaint about the Service, contact us at hello@127group.io. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
22. General terms
- Entire agreement. These Terms (with the documents in Section 1) are the whole agreement between you and us about the Service and replace earlier agreements on the same subject.
- Assignment. You may not transfer these Terms or your account without our written consent. We may transfer them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate, and we'll tell you if we do.
- Severability and waiver. If a court or arbitrator finds part of these Terms unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver of it.
- Events outside our control. We're not responsible for delays or failures caused by events beyond our reasonable control, such as outages of internet, hosting, payment or AI providers, natural disasters, illness, war or government action.
- Relationship. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship.
- Notices to us. Send legal notices to hello@127group.io with the subject "Legal notice".
- Headings and examples. Headings and the short version are for convenience only. "Including" means "including without limitation."
